T-Mobile USA in $2.4 billion tower deal with Crown Castle

NEW YORK (Reuters) - T-Mobile USA is selling the rights to operate 7,200 of its wireless broadcast towers for $2.4 billion to Crown Castle International Corp to help fund a network upgrade and reduce debt at its parent Deutsche Telekom.

Crown Castle has the option to pay another $2.4 billion to buy the towers outright from T-Mobile USA at the end of the lease term for each tower - between 2025 and 2048 - under the deal announced on Friday.

Analysts said it was a good deal for T-Mobile USA, which is spending $4 billion on a network upgrade. They noted that the company has also been looking to become more financially independent from its parent, which had tried to exit the U.S. market the year before.

However, several analysts said that Crown Castle had over-paid, likely because another bidder had pushed up the price.

Evercore Partners analyst Jonathan Schildkraut said the company paid about $400 million more than he would have liked.

"As people start to pull apart the numbers, it doesn't look that great," Schildkraut said, but he added that Crown Castle "needed to do it for growth."

Deutsche Telekom said the deal would reduce its debt by about $2.4 billion or roughly 1.9 billion euros.

T-Mobile USA, the No. 4 U.S. mobile provider, has been struggling to stem customer losses as it has a tough time competing with bigger and smaller rivals.

It had been trying to raise money from a tower sale since its proposed purchase by AT&T Inc failed late last year because of regulatory opposition. It had also looked into selling the towers in early 2011 before it started the AT&T process.

The deal is expected to close in the fourth quarter, according to the companies.

ROOM TO GROW

Crown Castle said it expects the towers to generate about $125 million to $130 million in adjusted funds from operations before financing costs in 2013.

JPMorgan analyst Phil Cusick said that while the price tag was at the high end of his expectations, it was mitigated by Crown Castle's strong growth outlook for the assets.

Crown Castle said the towers will have enough space to accommodate at least one additional wireless service provider customer on each tower, which would increase the leasing revenue it would receive without significant incremental capital.

As part of the deal, T-Mobile USA committed to maintaining its facilities on the towers for at least 10 years with annual rent increase provisions tied to the consumer price index. T-Mobile USA's rent includes the rights to complete its network upgrade on these sites.

"The deal is well structured to account for the inherent risks of purchasing a tower portfolio highly weighted to one carrier," Piper Jaffray analyst Christopher Larsen said.

Deutsche Telekom said the company had multiple bidders for the assets, but declined to name them.

Analysts have said other companies that considered the towers included American Tower Corp and SBA Communications Corp.

Crown Castle shares fell 23 cents to $64.68 on the New York Stock Exchange after the news, while Deutsche Telekom shares closed down 1.6 percent in Frankfurt.

Editorial Apple apologies actually aren't that infrequent, and that's okay

Today, Tim Cook made his first major apology as the CEO of Apple. It probably won't be his last. Despite the obvious knee-jerk reaction regarding the Maps debacle, it's actually interesting that this particular scenario is yet another example of humans having extraordinarily short-term memories. It's the same reason that whatever game we most recently saw is the "best or worst ever." (Packers v. Seahawks 09.24.2012, I'm looking at you.) In truth, Apple has a fairly solid history of ingesting pride in the iPhone era, when it surged headfirst into the realm of serving consumers in a way that it never had before. And moreover, hearing Cook apologize isn't something that should be mocked or berated; one can only hope that more companies of all shapes and sizes develop a policy of listening and reacting. Allow me to explain.

Women who experience early menopause are more likely to have a heart attack or stroke than women whose menopause occurs at a later age, according to a new study by Melissa Wellons, M.D., assistant professor of Medicine in the Vanderbilt Division of Diabetes, Endocrinology and Metabolism.

Wellons conducted the research while working at the University of Alabama-Birmingham and it is published in the current issue of Menopause: The Journal of The North American Menopause Society.

She said the study is especially important because cardiovascular disease is the leading cause of death in U.S. women.

"My hope is that getting this message out will motivate women with early menopause to engage in the lifestyle and medical strategies known to reduce risk of cardiovascular disease like controlling cholesterol, blood pressure and excess weight and by exercising," Wellons said.

The study looked at 2,509 women enrolled in the Multi-Ethnic Study of Atherosclerosis (MESA), with 693 reporting either surgical or natural early menopause before age 46. Women with early menopause were more often smokers, had diabetes and had a higher average BMI.

Within the study, early menopause in European, African-American, Hispanic and Asian women doubled the risk for cardiovascular disease when compared to groups experiencing menopause later in life.

"This is an observational study, so my colleagues and I can't conclude that early menopause is the cause of future cardiovascular disease," Wellons said.

"But our findings do support the use of age at menopause as a marker of future heart and vascular disease risk. Clinicians should consider asking questions about menopause when collecting a female patient's medical history."

Stocks higher after 5-day losing streak

(AP) ? Stocks climbed modestly Thursday on Wall Street, perhaps headed for their first gain of the week, after unemployment claims in the United States fell to their lowest level in two months.

Just after noon EDT, the Dow Jones industrial average was up 64 points at 13,478. The Standard & Poor's 500 index gained 11 to 1,444. And the Nasdaq composite index was up 32 to 3,126.

Energy stocks and banks gained the most in early trading. Utility stocks, which tend to do well when investors are fearful, were the only industry group in the S&P to fall.

The S&P has fallen five trading days in a row, its longest losing streak since July.

The market gains started earlier, in Asia, helped by expectations that the People's Bank of China will soon take more steps to ease a slowdown in the world's No. 2 economy.

Stocks rose 0.5 percent in Japan and 1.1 percent in Hong Kong.

In the United States, investors grappled Thursday with mixed economic data:

? The economy grew at an annual rate of 1.3 percent from April through June, the government said, slower than the previous estimate of 1.7 percent and not nearly fast enough to reduce unemployment.

? Demand for long-lasting manufactured goods plunged in August by the most since January 2009. That was mostly because of a huge drop in commercial aircraft orders, which are volatile. Orders that reflect business investment rose solidly.

? The number of Americans seeking unemployment benefits fell 26,000 last week to 359,000, the lowest figure in nine weeks. A figure consistently below 375,000 is generally enough to lower the unemployment rate.

? The number of Americans who signed contracts to buy previously occupied homes fell in August from a two-year high in July. The National Association of Realtors' sales index is still 10 percent higher than it was a year ago.

In Europe, stocks came back from one of their worst days in months. The benchmark stock index finished 0.7 percent higher in France and 0.2 percent higher in Germany and Britain.

Borrowing costs for financially troubled Spain and Italy also edged down, a positive sign.

In the U.S., demand for government bonds fell, generally an indication that investors are more willing to embrace risk. The yield on the 10-year note, which moves opposite the price, rose 0.03 percentage point to 1.64 percent.

The price of crude oil rose $1.19 per barrel to $91.15 as concerns mounted about a potential military confrontation over Iran's nuclear program. Oil had dropped $9 a barrel in two weeks.

The dollar was flat against most major currencies.

Apple stock advanced, reversing three straight days of declines. The gain came despite a UBS analyst's report reducing estimates for shipments of iPhones during the October-through-December quarter to 38 million from 44 million.

The analyst, Steven Milunovich, cited supply problems. He kept a rating of "buy" on the stock and a price target of $780. Apple was up $12.32, or 1.8 percent, at $677.56.

So?when we first started talking, I thought it would be fun to poke at the replacement refs a bit, maybe illustrate that they weren't prepared to operate on the level the NFL requires. But never in my worst nightmares did I imagine we'd see what just happened on?Monday Night Football. The outcome of a regular-season NFL game, one of 16 in the season, was determined by the replacement refs, and they got it irrevocably wrong.

I'm speaking, of course, of the game that just concluded between the Seahawks and the Packers,?a game that came down to the very last play, and a game which illustrated beyond a doubt that the replacement officials simply are not qualified for the NFL. Like I've said before, it's not due to lack of effort or desire, but simply due to a lack of ability. Just like we wouldn't expect a high school player to keep pace with Ray Lewis, it's unfair to think the replacements can handle the pressure and intensity of a stage that they've never been on.

Let's be clear: We're past the preseason now. These games really matter, and the Packers just lost one that counts for real, one that by all rights they should have won. As a divisional rival, it pains me to say this, but the Packers got royally horsebuggered on that last play, and this could have serious implications down the road when it comes to playoff seeds and homefield advantage.

One of the main points Commissioner Goodell has always harped on is protecting the shield: not letting anything tarnish the brand of the NFL. Commissioner, I hate to be the bearer of bad news, but right now the shield is tarnishing faster than a sailor's virtue in a two-dollar whorehouse. Players see it; coaches see it; fans see it. These refs are not fit to stand in for the men you've locked out for what is increasingly looking like nothing more than simple greed?attempting to squeeze blood from a stone simply because you can. The NFL is America's No. 1 sport in part because everyone watching it knows that the players determine the outcome of a game, not the refs. As of right now, you're hurting business by putting a product out on the field that challenges that belief.

We all know that the regular refs sometimes get calls wrong, but never this egregiously, never this overtly. Sure, they may miss a pass interference or a holding call, but they always mark off the right yardage, and there's a trust that they'll get the vast majority of the calls right. Right now, there's no trust for the replacement refs. We've seen them make mistake after mistake, and it'll only get worse as players and coaches continue to push the envelope to see what they can get away with (extra timeouts are pretty awesome, not gonna lie).

As a player, as someone whose paycheck relies on the fans' interest and their consumption of this game, I'm asking you to do what's best for the NFL and get the regular refs back on the field. It may sting your pride, and that of the owners who employ you, but at the end of the day this is a business, and a very successful one at that. I'm asking you: Please don't risk alienating your customers over something that should never have been an issue in the first place. Bring the regular refs back before it gets even worse.

Speaking on flood, mitigation and insurance - Prof. Allan Manning's ...

I was interviewed last Friday by the Alice Springs Centralian Advocate on flood mitigation in advance of a community talk I am to deliver today at the Crowne Plaza at 5:30pm.

The story made front page news and was picked up by ABC Radio and I am to be interviewed at 4:10pm in their studios here in Alice Springs.

My concern is that the lack of dredging and the amount of tree stumps and limbs that is all along the Todd River will result in needless flooding.? The following photos are of just some of the trees along 100 metres of the river bed.

The message seems to be getting through as later in the day, I saw council workers clearing some minor litter from the river bed within 250 metres of the venue for tonight?s talk.

The river needs to be dredged regularly and the fallen trees removed. The issue is not only money but also gaining the approval of the local indigenous leaders. The problem of course is the huge risk that lack of preventative measures creates.

UNC sends Tami Hansbrough info to NCAA

North Carolina has sent the NCAA travel and hiring records pertaining to Tami Hansbrough, the mother of former basketball star Tyler Hansbrough. Tami Hansbrough resigned from her fundraising position at the university earlier this month.

Included in the documents, which the school released Friday, were summaries of Hansbrough's university-paid trips to the 2009 ACC and NCAA tournaments in which her son played. UNC won the national championship that season.

Steve Kirschner, a spokesman for UNC's athletics department, told The Associated Press on Saturday that the fax, sent to the NCAA earlier this month, was meant to brief it after media reports, not to report a violation.

(AP) ? President Barack Obama worked to squash GOP hopes for a resurgence in pivotal Wisconsin on Saturday, pushing back against his GOP rival's complaints about an overly intrusive government and attracting his biggest crowd of the campaign. Mitt Romney took precious time away from campaigning in the battleground states to troll for cash in California and kept up his criticism of the president for fostering a culture of dependency.

The president faulted Romney for advancing a top-down economic approach that "never works."

"The country doesn't succeed when only the folks at the very top are doing well," he said. "We succeed when the middle class is doing well."

Obama, speaking to an energized throng of 18,000 people in an at-times-rainy outdoor amphitheater, made a point of renewing his pledge to create a million manufacturing jobs as he campaigned in a state whose manufacturing industry has been hard hit in recent years.

With just six weekends left before Election Day, both candidates were devoting considerable time to raising cash to continue bankrolling the deluge of ads already saturating hotly contested states.

Baseball great Hank Aaron supplied the star power at Obama's Milwaukee fundraisers.

"As one who wore the number 44 on his back for decades, I ask you to join me in helping the 44th president of the United States hit a grand slam," said Aaron.

Romney, who is expected to launch a more aggressive campaign schedule in the coming week, hunted for West Coast cash, if not votes, at a private fundraiser near San Diego and headed for another in Los Angeles. Some Republicans have grumbled that he's not spending enough time with voters in swing states, and Romney seemed to take note of that sentiment.

"I've got good news: This is the last fundraiser in San Diego," Romney told supporters. "I'm not even going to be able to go home today. We're just coming to town to see you and keep the campaign going. It's nonstop."

Romney adviser Kevin Madden said the GOP nominee would begin "a really intense battleground state schedule." The former Massachusetts governor will campaign in Colorado, Ohio and Virginia in the coming week.

With running mates Joe Biden and Paul Ryan campaigning in New England and Florida, respectively, the presidential campaign was spread far and wide ? both geographically and strategically. Biden revved up union activists poised to canvass for votes in New Hampshire while Ryan appealed to Hispanic voters in Miami and talked space policy in Orlando.

It was Obama's first visit to Wisconsin since February, and the president was intent on shoring up support in Ryan's home state. Obama's politicking included an unscheduled stop at a local deli, where he tried out some bratwurst in a pretzel roll with spicy mustard ? and managed to chat up a few patrons from Ohio, another crucial state.

Obama won Wisconsin easily in 2008 but Ryan is popular here and recent polls have Obama up by single digits. The GOP showed its organizational strength in fending off efforts to recall Republican Gov. Scott Walker, but Obama campaign manager Jim Messina said Democrats "continue to have a strategic advantage," with more field offices and political infrastructure in the state.

With absentee voting already under way in the state, first lady Michelle Obama will campaigning there next week.

Obama made the case against Romney before a crowd at the Milwaukee Theater, countering Romney's call to change Washington from the inside with an appeal to voters to help him break through partisan gridlock with pressure on Congress from the outside. He said that despite economic troubles, his administration has made progress and has made "practical and specific" proposals to create jobs.

"We've seen half a million new jobs in manufacturing, the fastest pace since the 1990s," he said. "And so the choice now is, do we reverse that progress or do we move forward?

Romney, at his fundraiser near San Diego, said Obama was "taking Americans on a course that is extremely foreign to us."

"One would suggest that government knows better than free people," he said. "It's a pathway to become like Europe, and Europe doesn't work there. It's never going to work here. It's even possible we could be on a pathway to become California -- I don't want that either."

In advance of Obama's visit, Romney's campaign made the argument that Obama's failure to turn around the economy had Wisconsin voters looking for a different path. Walker said the president had a "Wisconsin problem." The state's 7.5 percent unemployment rate is below the national average, but manufacturing has struggled.

The Republican National Committee released a web video, "Since You've Been Gone," highlighting recent GOP organizing efforts in the state and Walker's success in fending off recall.

Messina saw good signs all over, saying, "We're either tied or in the lead in every battleground state 45 days out. I think you will see a tightening in the national polls going forward."

Ryan, campaigning in Miami's Little Havana neighborhood, reinforced Romney's argument that Obama hasn't been able to make needed changes in Washington, poking at the president's recent comment that it's hard to change Washington from the inside without mobilizing public pressure on Congress from the outside.

"Why do we send presidents to the White House in the first place?" Ryan asked. "We send presidents to change and fix the mess in Washington, and if this president has admitted that he can't change Washington, then you know what? We need to change presidents."

He also faulted Obama for a "policy of appeasement" toward the Castro regime in Cuba, saying all the president had done was "reward more despotism."

Obama has eased restrictions to allow Americans to travel to Cuba and to let Cuban-Americans to send money to family on the island. But the president has stopped well-short of discussing lifting the 50-year-old economic embargo, which is widely viewed in Latin America as a failure and has complicated U.S. relationships in the region.

Campaign spokeswoman Jenn Psaki said the president had supported democracy movements on the island and worked to give people there more say in their futures.

In an appearance in Orlando, not far from Florida's space coast, Ryan criticized the president for putting the U.S. space program "on a path where we are conceding our global position as the unequivocal leader in space." The Obama campaign responded that Ryan has proposed deep cuts in spending for space exploration.

Underscoring the importance of grass-roots efforts in the campaign's final days, Biden rallied union workers at a Teamsters union hall in Manchester, N.H., saying their organizing work would be the "antidote" to millions spent on advertising by Republican-leaning super PACs.

Biden said it was because of unions that the U.S. has a strong middle class, and he accused Romney and Ryan of having "a completely different value set, a completely different vision."

"They're doubling down on everything that caused the economic crisis in the first place," he said.

The GOP nominee is feeling fundraising pressure: Last month, for the first time in four months, Obama and the Democratic Party raised more than Romney and the Republican Party, $114 million to $111.6 million.

Sale of Promoter AEG Would Radically Alter Concert Business ...

If billionaire Philip Anschutz sells his Anschutz Entertainment Group ? which controls portions of the Lakers and Kings sports teams as well as Los Angeles' Staples Center, London's O2 Arena, 98 other entertainment venues and the Coachella music festival ? he could drastically change the modern concert business. For the past decade, the company's aggressive executives have been a thorn in the side of competitor Live Nation, the world's largest promoter, by signing not every major tour, but certain key winners ? Prince in 2004, Bon Jovi the last several years, Justin Bieber in 2010 and Taylor Swift in 2011.

"I've been accused of being a cherry-picker, sometimes, for the tours we buy. I can live with that," Randy Phillips, chief executive for AEG Live, the company's entertainment division, told Rolling Stone in 2010, claiming robust sales while many of its competitors were plagued with empty seats and canceled tours all summer. "We'll buy everything we believe in, and we'll work our asses off to make it work."

Reps for AEG ? which sold 12.2 million tickets to its events last year, compared to Live Nation's 22 million, according to Pollstar ? did not respond to requests for comment on a potential sale. The company's availability was made known on Tuesday.

AEG's approach, while providing a key Number Two for Live Nation in the concert business, may not be profitable forever, according to promoters and artist managers. These days, touring stars such as Jimmy Buffett have enough leverage to negotiate 110 percent of the overall ticket sales, leaving promoters to cover their own expenses through service fees, beer and parking ? costs that have ballooned in recent years and irritated music fans. Plus, the biggest, most reliable stars, from the Rolling Stones to Madonna, are aging, and few have emerged to replace them in arenas and stadiums.

John Scher, a veteran New York City promoter who frequently bids for shows against AEG and Live Nation, estimates concert-business profit margins at three to five percent. The famously reclusive Anschutz has not explained his reasons for selling AEG, but such margins may be too low.

"There's not a big upside to being in the concert business," Scher says, adding that Anschutz may be thinking, "I'm not necessarily sure there's much growth here . . . Probably my millions of dollars that are invested in this can be put to better use to make more money. Let me sell it while it looks like a good business."

Possible buyers for the Anschutz Entertainment Group, according to reports and concert-business sources, include Live Nation itself and music companies such as the Universal and Warner record labels; private-equity firms such as Thomas H. Lee Partners, Bain Capital and Colony Capital; and wealthy businesspeople like Patrick Soon-Shiong, Liberty Media's John Malone and longtime concert-promotion investor Robert Sillerman.

When Anschutz offered AEG for sale Tuesday, the company stipulated that it not be broken up into pieces ? which suggests, sources say, that top executives such as Phillips and AEG President Tim Leiweke could stay in their existing positions even after the sale. Reports have estimated the company could draw between $6 billion and $8 billion, which could put the company out of reach for entertainment-only entities such as Live Nation or Universal.

AEG's recent bad press regarding Michael Jackson's final days may be an additional reason for its sale. During preparation for Jackson's O2 shows in 2009, Phillips told reporters Jackson was in great health; however, a few weeks ago, the Los Angeles Times printed emails that indicated Phillips knew more than he was letting on. "MJ is locked in his room drunk and despondent," Phillips had written to his boss, Leiweke. "I [am] trying to sober him up." The emails came out after two insurers sued AEG, trying to nullify a $17.5 million policy the promoter reportedly took out on Jackson.

Some in the concert business speculate Anschutz, a deeply religious billionaire, may be embarrassed by what has come out ? and may still come out ? regarding the Michael Jackson tragedy. "He's a guy that doesn't like the limelight," says a source.

But Gary Bongiovanni, editor-in-chief of concert-business magazine Pollstar, disagrees, recalling AEG's bookings of morally questionable pop stars such as Marilyn Manson and Rob Zombie.

"Anschutz is supposedly a highly religious man, a very conservative billionaire," he says. "However, he has not let his politics influence the operations of the company, as far as I can tell." In the end, Bongiovanni knows exactly who will buy the company: "It's going to have to be somebody who can write an enormous check."

Have you ever thought about how your choice of vehicle impacts your auto insurance rates? Most people assume that expensive cars cost more to insure than budget friendly choices, but is that really true?

How much you pay for your auto insurance relies on a number of factors. This includes your driving record and where you live, but for most people, the biggest factor is the model and year of the vehicle you drive.

Auto insurers use the Canadian Loss Experience Automobile Rating (CLEAR) system to determine the odds that a type of vehicle will be involved in a claim, and what that claim is likely to cost. This system is comprised of large amounts of claims data collected from insurers and is specific to the actual claims loss experience for each make, model and year of vehicle. The information is grouped and based on the assessed risk; each vehicle is assigned a CLEAR number. The higher the number assigned to a vehicle, the greater the risk to the insurer and the more you can expect to pay for insurance.

As a result of CLEAR, owners of vehicles with a lower than average claims risk, pay less for insurance. As this has little to do with the manufacturer?s suggested retail price (MSRP), the cost to insure many vehicles can contradict most people?s assumptions about auto insurance rates; in particular, that expensive cars cost much more to insure than cars with a much lower MSRP. A good example of this apparent contradiction is a 2010 Mercedes Benz E350. According to CLEAR, this car has a very low frequency and severity of claims. As a result, it is actually less expensive to insure than many vehicles costing less than half as much. This includes popular models like the Toyota Camry and Honda Civic. According to CLEAR, these cars are a much higher than average risk.

Previous to CLEAR, insurers relied on the MSRP and some basic information about a vehicle?s repairs costs when determining premiums. As a result, vehicles with similar MSRPs would usually result in similar insurance premiums. For the most part, the greater a vehicle?s MSRP, the higher the premium charged. For many years, that seemed to make sense, but this system failed to acknowledge a number of claims cost factors including:

  • Some vehicles depreciate more rapidly than others
  • The cost of replacement parts can vary considerably between brands and models
  • Certain cars are much more attractive to thieves due to easily defeated security systems or a strong demand for used parts
  • Sophisticated safety devices that increase a vehicle?s cost, may reduce claims frequency and severity of injuries
  • Some vehicles have a higher likelihood of specific types of claims. For example, the top heavy nature of many SUVs make them more prone to rollovers

After breaking from cover at yesterday's pre-TGS presser, the two new PlayStation Vita color variants have gotten cozy at the Sony booth on the show floor. Unlike the quick photo opp that we snagged a few hours ago, we were able to actually fondle the "sapphire blue" model in all its metallic-hued glory. Speaking of shiny exteriors, both the blue and red schemes feature a bit of sparkle along with the slathering of new paint. The duo look quite glittery, giving the two some added flair over the regular ol' black and white versions in addition to the color change. The hardware is the same as the existing models and the key difference is strictly visual. As you can see in the gallery below, the backsides of these Vitas is also covered with the same shimmering color as their facades. The pair will arrive in Japan in November and we're keeping a close watch on availability elsewhere.

Taiwan co. fined $500 million for LCD price fixing

(AP) ? A Taiwanese company was fined $500 million Thursday and its former president and executive vice president were each sentenced to three years in prison for their leading roles in a global LCD screen price-fixing conspiracy.

The sentences handed down Thursday are among the harshest penalties ever given in an antitrust criminal case.

Still, the U.S. Department of Justice complained the punishments were not enough. Federal prosecutors demanded a $1 billion fine and a 10-year prison sentence for the executives.

U.S. District Judge Susan Illston said she rejected the demand because A.U. Optronics has already paid out millions to settle a class-action lawsuit and still faced other lawsuits in the United States and around the world.

She also said the two executives ? Hsuan Bin Chen and Hui Hsiung ? didn't deserve the lengthy prison sentences demanded by prosecutors because they acted not for personal gain like someone operating a Ponzi scheme but out of their sincere belief that they were aiding a troubled industry plagued by over-production and plummeting prices. Both men declined to address the court.

"There were a lot of business pressures they responded to," the judge said. "There was relatively little personal motivation."

Nonetheless, the judge said the evidence of their guilt was "overwhelming" and that "they did know it was illegal."

The company and seven other competitors who have previously pleaded guilty were convicted of sending executives to quarterly meetings between 2001 and 2006 to hash out production levels and prices they would charge the world's largest technology companies for their liquid display screens. The tech giants include companies such as Apple Inc., Dell Computers and a long-list of television and computer makers. Many of the meetings' agendas and conclusions were documented and presented to the jury as evidence. The jury convicted the company and men in March.

Prosecutors said the conspiracy artificially inflated the cost of those products for consumers around the world. One-third of the $74 billion in LCD screen sales implicated in the scheme were made by U.S. companies.

"These defendants played a pivotal role in a global conspiracy that had an unprecedented impact on the pocket books of American consumers," federal prosecutor Heather Tewksbury unsuccessfully argued for harsher sentences. "They have done nothing to accept any responsibility for what they did."

The judge is allowing the company to pays its fine in four installments over the next year after its attorney Dennis Riordan pleaded for a payment plan. He said the company had only $80 million in cash on hand and order to pay the fine immediately would cause lenders to demand repayment of $6.5 billion worth of loans. Such a scenario would have "killed" the company, Riordan said.

The judge also ordered the company to publish in three "trade journals" that it has been convicted of price fixing and what measures its taking to avoid breaking the law in the future.

DOJ is wrapping up a yearslong investigation of the global price-fixing scheme that artificially increased the price of LCD screens used in televisions, computers and other electronic products made by Apple Inc., Dell Computers and many of the largest high-tech companies in the United States.

"The conspiracy affected every family, school, business, charity, and government agency that paid more to purchase notebook computers, computer monitors, and LCD televisions during the conspiracy," prosecutors concluded in arguing for the criminal penalties.

AU Optronics and the other co-conspirators are also the targets of class action lawsuits filed by customers, retailers and consumers.

In July, the company, along with Toshiba and LG, agreed to pay a combined $571 million to settle one of the lawsuits. Other manufactures, including Hitachi, Sharp and Samsung, agreed in December to pay $538 million to settle.

Seven other Asian manufacturers and 22 of their executives have previously pleaded guilty and agreed to pay a combined $890 million in fines. The 10 executives who have been sentenced so far received prison terms ranging from six months to a little more than year in prison.

The $1.39 billion in criminal fines won in court make the LCD screen price fixing case the largest criminal antitrust case ever prosecuted by the DOJ, surpassing the breakup of a vitamin cartel in the late 1990's that netted $875 million in criminal fines.

To date, F. Hoffmann-La Roche Ltd.'s $500 million fine for participating in the vitamin price-fixing scheme remains the largest antitrust fine. The DOJ's annual collection of antitrust criminal fines only topped $1 billion once in the past 10 years, according to a report compiled by the law firm Gibson Dunn.

A jury found AU Optronics, Chen, its former president, and former executive vice president Hsiung guilty and acquitted two others. The jury couldn't agree on a verdict for a fifth executive, and prosecutors dropped charges. Chen remains a vice chairman of the company's Board of Directors. Both men were allowed to go free and ordered to report to prison on Dec. 20

AU Optronics refused to plea bargain with the DOJ, becoming the only company to go to trial.
